Acceptance of the Terms

These Terms of Use (“Terms”) constitute a legal agreement between you and Ragas Enterprises Inc. (“Company,” “we,” “us,” “our”). These Terms govern your access to and use of the Exetto application and website at exetto.com and exetto.ca, including any content, functionality, and services offered on or through them (the “Service”).

BY ACCESSING OR USING THE SERVICE, OR BY CLICKING TO ACCEPT THESE TERMS, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICE.

By using the Service, you represent and warrant that you are of the legal age of majority under applicable law and able to form a binding contract with the Company.

Not an inspection, an appraisal, or professional advice

Exetto is a reading aid. It is not a building inspection, an appraisal, a certificate of location, a title search, or a legal, financial, or engineering opinion, and nothing in the Service constitutes such advice or a recommendation to buy, not to buy, or to take or refrain from any action.

The Service reads documents you provide and produces observations and questions — “findings” — meant to help you brief your own professionals. Findings are not verdicts, do not estimate the cost of any work, and do not tell you whether a property is a good purchase. They are produced in part by automated language models, which can misread a document, overlook something in it, or describe something that is not there. A finding may also carry a classification or score proposed by an advisor you invited and accepted by you; that judgement is theirs, the Company neither reviews nor endorses it, and accepting it is your decision alone.

The Service reads only what you give it. It cannot see the property, and a document that is silent on a subject is not evidence that nothing is wrong.

Nothing in the Service replaces a qualified building inspector, notary, appraiser, engineer, or lawyer. You must obtain your own professional advice before making any decision or entering into any transaction, and before taking or refraining from any action based on the Service. Your use of the Service and any reliance on its content is at your own risk.

The Service does not create any professional, fiduciary, advisory, or client relationship between you and the Company.

Eligibility and geographic scope

The Company is based in Québec, Canada, and provides the Service for users across Canada. The Service is not intended for use in any jurisdiction where its use would be contrary to law. If you access the Service from outside Canada, you do so on your own initiative and are responsible for compliance with local laws.

Modifications to the Terms and to the Service

We may revise and update these Terms from time to time in our sole discretion. Changes are effective when posted and apply to your continued access to and use of the Service. You agree to review the Terms periodically; your continued use constitutes acceptance of the changes.

The Service, and any content or features, may be changed, suspended, withdrawn, or terminated at any time in our discretion. We will not be liable if all or any part of the Service is unavailable at any time or for any period.

Accounts, sign-in, and security

Access to the core features of the Service requires an account. You sign in using Google (Google OAuth). You are responsible for maintaining the confidentiality and security of your Google account and any credentials used to access the Service, and for all activity that occurs under your account.

It is a condition of your use of the Service that all information you provide is correct, current, and complete. You agree to:

  • keep your credentials confidential and not share access to your account;
  • exercise caution when accessing your account on a public or shared device;
  • notify us immediately of any unauthorized access to or use of your account or any other breach of security; and
  • log out at the end of each session where appropriate.

We may disable or terminate your account, in our discretion, for any reason, including any violation of these Terms.

You must not attempt to circumvent or breach the security of the Service, including by: accessing data not intended for you; breaching authentication or security measures; disrupting or disabling the Service or its infrastructure; using any robot, spider, scraper, or other automated means to access the Service other than as expressly permitted; introducing viruses, worms, or other harmful code; or conducting any denial-of-service or similar attack.

Professionals on the Service

An account may be declared as professional — a real estate broker or agency executive officer, an agent, a building inspector, a notary, a lawyer, an appraiser, or another advisor — which changes how the Service is presented to you and displays the details you give about your practice. It grants no access to any property. You see a property only when its owner shares it with you, and only for as long as they choose to.

That declaration is yours alone. The Company has no obligation to review, approve or verify it, and does not undertake to do so. The Company gives no assurance that any person holds a licence, permit or registration, that one is valid, active or in good standing, or that a person is entitled to practise the profession they declare.

By declaring a profession you represent and warrant that the profession, firm, licensing body and licence number you give are accurate and current; that where the profession you declare requires a licence, permit or registration, you hold a valid one in good standing and the number you give is yours; and that you will correct or withdraw the declaration without delay if any of it ceases to be true. You must stop holding yourself out in that profession on the Service immediately upon any of those events.

You are solely responsible for the accuracy of that declaration and for all consequences of it being false, incomplete, or out of date, and you indemnify the Company on the terms set out above in respect of any claim arising from it. The Company may correct or remove a declaration, or suspend or terminate an account, at any time, with or without reason.

If you are a buyer dealing with someone who identifies themselves as a professional on the Service, you should confirm their credentials yourself — on the OACIQ register for a real estate broker, and with the relevant professional order for a notary, a lawyer or an appraiser — before relying on them. The Service does not do this for you.

Fees

The Service is currently offered without charge. We may introduce paid features in the future. If we do, the price, what it includes, and when it takes effect will be stated before you are asked to pay, and no charge will be made without your agreement.

Nothing in these Terms obliges us to keep any part of the Service free of charge.

Your data and content

The Service allows you to upload, store, and process information, including documents relating to a property you are considering — inspection reports, sellers’ declarations, certificates of location, and similar material — together with the property details (your “User Data”).

None of the User Data you submit to the Service will be subject to any confidentiality obligation on the part of the Company, except as expressly set out in our Privacy Policy. By providing any User Data to the Service, you grant the Company and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns, a worldwide, royalty-free, perpetual, irrevocable, non-exclusive licence to use, reproduce, modify, perform, display, distribute, host, store, transmit, process, exploit, commercialize, and otherwise disclose to third parties any such User Data for any purpose and according to your account settings, and to incorporate such material into any form, medium, or technology throughout the world without compensation to you. You further waive any moral rights or other rights of authorship as a condition of submitting any User Data.

By submitting the User Data, you represent and warrant that you own or have the necessary rights to submit it, that you have the right to grant the licence above, and that your User Data complies with these Terms and all applicable laws. You are responsible for your User Data, including its accuracy and your right to provide it (including any personal information about third parties, such as a seller or a previous owner).

We may remove or disable access to User Data that we believe violates these Terms or applicable law, or take other action we consider appropriate.

Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree that you will not:

  • violate any applicable federal, provincial, local, or international law or regulation, or infringe any intellectual property, privacy, or other rights;
  • upload documents you have no right to upload, or use the Service to gather information about a property or a person for a purpose unrelated to your own prospective purchase;
  • use the Service to store or transmit material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable;
  • provide false, inaccurate, or misleading information in a manner intended to deceive;
  • impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity;
  • present the findings produced by the Service as an inspection report, an appraisal, or the opinion of a qualified professional;
  • interfere with or disrupt the Service or the servers or networks connected to it; or
  • use the Service, or any of its content, for any commercial purpose not expressly authorized by these Terms.

Fair use and service limits

To keep the Service reliable and available to everyone, we apply technical limits to how it may be used — for example, ceilings on the size and number of documents that may be uploaded, and limits on the rate of requests made to our systems and to integrated third-party services. These limits are set well above ordinary use and exist to prevent automated or abusive activity. Some thresholds are shown in the Service itself, such as the maximum size of a file; others are not published. If you reach a limit, the Service will tell you at the time. We may set, change, or enforce these limits at our discretion, and we may suspend or restrict access where use materially threatens the stability, security, or cost of operating the Service.

Intellectual property rights

The Service and its entire contents, features, and functionality — including all software, code, text, displays, graphics, design, layout, the Exetto name and logo, and the selection and arrangement thereof — are owned by the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws. This does not include your User Data, which is addressed above.

The Exetto name, the Exetto logo, and related names and logos are trademarks of the Company. You must not use them without our prior written permission.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own personal use in connection with a property you are considering. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, or transmit any part of the Service, except as this occurs incidentally through normal permitted use (such as temporary caching by your browser), or as we expressly authorize in writing. All rights not expressly granted are reserved.

Third-party services and links

The Service relies on third-party providers, including Google, Supabase, Vercel, Anthropic, Resend, and HubSpot, and may contain links to third-party websites. We do not control, and are not responsible for, third-party services or websites or their content, and your use of them may be subject to their own terms and privacy policies. If you access any third-party site or service, you do so at your own risk. Our Privacy Policy describes what each of our providers does with your information.

Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and disclose your information, including how the documents you upload are analyzed. By using the Service, you consent to those practices.

Disclaimer of warranties

YOUR USE OF THE SERVICE, ITS CONTENT, AND ANYTHING OBTAINED THROUGH THE SERVICE IS AT YOUR OWN RISK. THE SERVICE, ITS CONTENT, AND ALL SUCH ITEMS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THAT THE SERVICE OR ITS CONTENT — INCLUDING ANY FINDING, SEVERITY RATING, RISK INDICATION, DOCUMENT SUMMARY, OR OTHER AI-GENERATED CONTENT — WILL BE ACCURATE, RELIABLE, COMPLETE, CURRENT, ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT EVERY MATERIAL ITEM IN A DOCUMENT YOU UPLOAD WILL BE IDENTIFIED, OR THAT THE SERVICE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of liability

EXCEPT WHERE SUCH EXCLUSIONS ARE PROHIBITED BY LAW, UNDER NO CIRCUMSTANCE WILL THE COMPANY OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF ANTICIPATED SAVINGS, LOSS OF GOODWILL, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, OR RELIANCE ON, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, EXCEPT WHERE PROHIBITED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY AND THE PARTIES LISTED ABOVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED CAD $25. THE FOREGOING DOES NOT EXCLUDE OR LIMIT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company and its directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your breach of these Terms, your User Data, or your use of the Service other than as expressly authorized.

Governing law and forum

These Terms and your use of the Service are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the courts of the Province of Québec, judicial district of Montréal, and you irrevocably submit to the jurisdiction of those courts.

Language

A French-language version of these Terms is available; use the language selector at the top of the page to switch.

Waiver and severability

No failure or delay by us in exercising any right under these Terms operates as a waiver of it. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be severed and the remaining provisions will continue in full force.

Entire agreement

These Terms and our Privacy Policy constitute the entire agreement between you and the Company regarding the Service and supersede all prior understandings and agreements regarding its subject matter.
